• Represented client in  business expansion into South Carolina and created various operating  and holding companies to mirror  the out-of-state business and ownership structure.  Separated the  South Carolina division from the pre-existing division for liability and operating  purposes.
• Represented  principal shareholder in the buy-out of other family members of a successful  family-owned business and restructured the liabilities of the company.
• Protect  assets of a high net worth client by forming a series of single-purpose,  holding entities as a “firewall.”
• Negotiate  franchise agreements for numerous clients with national hotel chains.
• Draft and  negotiate operating and joint venture agreements for development and  sale of property through a joint venture.
• Represented clients in cases involving the Internal Revenue Service and the South Carolina Department of Revenue.
